Important regulatory, brokerage, and risk disclosures for users of the Ophir Markets platform.

01.Regulatory status

Ophir Markets Ltd is a Zambian company pursuing a Securities Dealer licence from the Securities and Exchange Commission of Zambia and the relevant foreign-exchange and payments authorisations from the Bank of Zambia. Until licensing is complete, the platform operates as an early-access product and certain services — including live trading — are not yet available to the public.

02.Brokerage and custody

U.S. securities offered through the platform are carried and custodied by SEC-registered, FINRA-member broker-dealer partners, with SIPC protection of up to $500,000 per account (including $250,000 for cash claims). SIPC protects against the failure of the custodian — it does not protect against a decline in the market value of your investments. Zambian equities are routed through a member broker of the Lusaka Securities Exchange and settled through the central securities depository.

Ophir Markets does not provide personalised investment advice. Analyst ratings, price targets, news, screeners, and educational content are provided for information only and are not a recommendation to buy, sell, or hold any security. Consider your own circumstances, and seek independent advice where appropriate.

04.Market risk

Securities prices fluctuate, sometimes sharply. You may lose some or all of your invested capital. Emerging-market securities, small-cap securities, and concentrated positions carry elevated risk. Diversification does not guarantee a profit or protect against loss.

05.Currency risk

Investments in U.S. securities are denominated in U.S. Dollars while your deposits and withdrawals are in Zambian Kwacha. Movements in the ZMW/USD exchange rate will change the Kwacha value of your account independently of your investments’ performance, and may amplify gains or losses.

06.Fractional shares

Fractional shares are executed through our brokerage partners’ fractional programmes. Fractional positions may not be transferable to another broker in kind, may have limited voting rights, and can only be liquidated through the platform.

07.Government securities

Zambian Treasury Bills and Government bonds are obligations of the Government of the Republic of Zambia. Yields shown are indicative auction yields; realised returns depend on the accepted auction price and holding period. Early exit before maturity may not be possible or may occur at a discount.

08.FX and fee disclosure

Currency conversions include a disclosed spread over the interbank reference rate. All fees applicable to a transaction are displayed on the review screen before you confirm. A full fee schedule is published on the Pricing page.

09.Tax

You are responsible for your own tax affairs. U.S.-source dividends are generally subject to U.S. withholding tax; a W-8BEN declaration is collected during onboarding where applicable. Zambian tax treatment of capital gains, dividends, and interest is your responsibility to report to the Zambia Revenue Authority. Ophir Markets provides annual summaries to assist, but does not provide tax advice.

10.Complaints

If you are unhappy with any part of our service, contact support@ophirmarkets.com or use the in-app Help Centre. We acknowledge complaints within one business day and aim to resolve them within 14 days. If you remain dissatisfied, you may escalate to the Securities and Exchange Commission of Zambia.
