Terms of Service

These terms govern your use of the Ophir Markets platform, operated by Ophir Markets Ltd, a company incorporated in the Republic of Zambia.

01.Who we are

Ophir Markets Ltd (“Ophir Markets”, “we”, “us”) provides a technology platform that enables eligible Zambian residents to invest in U.S.-listed securities, Zambian equities listed on the Lusaka Securities Exchange, and Zambian Government securities. Brokerage, custody, and execution services are provided by regulated third-party partners; Ophir Markets provides the interface, onboarding, compliance, and Zambia-side payment rails.

Ophir Markets is pursuing the applicable licences and authorisations from the Securities and Exchange Commission of Zambia and the Bank of Zambia. Until those authorisations are granted, the platform operates in a limited early-access capacity and certain services may be unavailable.

02.Eligibility

You must be at least 18 years old, resident in Zambia (or another jurisdiction we expressly support), and able to pass our identity verification (KYC) checks. You may hold only one account. We may refuse, suspend, or close an account at our discretion, including where required by law or by our partners.

03.Your account and security

You are responsible for safeguarding your login credentials and for all activity on your account. You must enable two-factor authentication where offered, keep your contact details current, and notify us immediately of any suspected unauthorised access at security@ophirmarkets.com.

04.Investing risk

All investing involves risk. The value of securities can go down as well as up, and you may lose the entire amount you invest. Past performance is not a guide to future performance. Foreign-exchange movements between the Zambian Kwacha and the U.S. Dollar can independently increase or reduce the value of your investments.

05.Deposits, conversions and withdrawals

Deposits are accepted in Zambian Kwacha via supported mobile-money providers and banks. Currency conversion between ZMW and USD is executed at the indicative rate displayed at the time of your instruction, plus the disclosed FX spread. Withdrawals are subject to identity re-verification, two-factor authentication, and the daily and monthly limits applicable to your verification tier.

06.Fees

Our fees — including FX spread, withdrawal fees, and any subscription plans — are set out on the Pricing page and disclosed before you confirm each transaction. We may update fees with 30 days’ notice.

07.Prohibited use

You may not use the platform for money laundering, terrorist financing, fraud, market manipulation, or any unlawful purpose; attempt to circumvent our security or limits; or use automated systems to access the platform without our written consent. We monitor transactions and report suspicious activity to the Financial Intelligence Centre as required by Zambian law.

08.Service availability

We aim for high availability but do not guarantee uninterrupted access. Markets, payment providers, and partners may be unavailable at times. We are not liable for losses caused by events outside our reasonable control.

09.Limitation of liability

To the maximum extent permitted by law, Ophir Markets’ total liability to you in any 12-month period is limited to the fees you paid us during that period. Nothing in these terms limits liability for fraud or for anything that cannot be limited under applicable law.

10.Changes and termination

We may amend these terms by giving you at least 14 days’ notice through the app or by email. You may close your account at any time after settling open positions and withdrawing your balance. Sections that by their nature should survive termination (including limitation of liability and dispute resolution) survive.

11.Governing law and disputes

These terms are governed by the laws of the Republic of Zambia. Disputes are subject to the exclusive jurisdiction of the courts of Zambia, after first attempting resolution through our complaints process described in the Help Centre.
